Please read the following terms and conditions carefully before registering on, accessing, browsing, downloading or using the MetalPe website located at https://metalpe.in and all associated sites linked to Metalpe.in or the Metalpe Mobile application or any similar platform (hereinafter collectively, the MetalPe Platform run by Aadhyalakshmi Gold located at 1/A, Sathanar Street, Attur, Salem, Tamilnadu - 636102, India (hereinafter collectively, MetalPe ) on any device and/or before availing any services offered by MetalPe on the Platform which may include services such as buying Digital Gold, transfer of digital gold, conversion of Digital to Physical gold or any other service that may be offered by MetalPe on the MetalPe Platform (hereinafter individually, and collectively, the MetalPe Services). For the avoidance of doubt, it is clarified that these terms and conditions shall apply to all Metalpe Services

INTRODUCTION

THIS DOCUMENT IS AN ELECTRONIC RECORD IN TERMS OF THE INFORMATION TECHNOLOGY ACT, 2000 AND RULES THEREUNDER AS APPLICABLE AND THE PROVISIONS PERTAINING TO ELECTRONIC RECORDS IN VARIOUS STATUTES AS AMENDED BY THE INFORMATION TECHNOLOGY ACT, 2000. THIS ELECTRONIC RECORD IS GENERATED BY A COMPUTER SYSTEM AND DOES NOT REQUIRE ANY PHYSICAL OR DIGITAL SIGNATURES. THIS DOCUMENT IS PUBLISHED IN ACCORDANCE WITH THE PROVISIONS OF RULE 3(1) OF THE INFORMATION TECHNOLOGY (INTERMEDIARIES GUIDELINES) RULES, 2011 THAT REQUIRES PUBLISHING THE RULES AND REGULATIONS, PRIVACY POLICY AND TERMS OF USE FOR ACCESS OR USAGE OF THE PLATFORM. PART I AND PART II OF THESE TERMS OF USE SHALL BE COLLECTIVELY REFERRED TO AS THE ‘TERMS’ AND SHALL ALWAYS BE READ TOGETHER. DEFINITIONS

For the purpose of these Terms, wherever the context so requires, the term:

“Customer” shall mean any individual, who as the counterparty transacts using the Platform
i. for buying Gold, Silver, platinum (as defined below) in digital form from a recognized bullion signed up by MetalPe.

ii. for redeeming the digital gold to physical gold from a party authorized by customer, recognized & onboarded by MetalPe

iii. for sending the digital gold to a party authorized by customer, recognized & onboarded by MetalPe

“Gold” shall mean 24 karat gold of 99.9% purity or higher, offered to the Customer by bullion as signed up by “MetalPe”.

“Silver” shall mean Silver of 99.9% purity or higher, offered to the customer by bullion as signed up by “MetalPe”

“Account Holder / MetalPe user” shall mean an individual/ proprietorship, a corporation, a partnership, a joint venture, a trust, an unincorporated organisation and any other legal entity with a valid GST registration and approved by MetalPe administration

"Platform" shall mean, and include, the mobile application and website, that the Customer accesses for the transactions, including all contents, services and technology offered through the Platform

“Buy” refers to a Account Holder to buy digital Gold from an authorised bullion as onboarded by MetalPe

“Send” refers to a facility to transfer digital Gold from a valid Account to another valid Account.

“Redeem” refers to conversion of digital gold from a valid account to Physical gold from an authorised party

“Force Majeure Event” shall mean any event that is beyond the reasonable control of the MetalPe Partner and shall include, without limitation, sabotage, fire, flood, explosion, act of God, civil commotion, strikes, lockouts or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, civil disturbances, unauthorised access to computer data and storage device, computer crashes, virus attacks, breach of security and encryption, and any other similar events not within the control of MetalPe and MetalPe is not able to overcome.

“Payment Instrument” shall mean any electronic or written cheque, draft, money order or other electronic or written instrument or order for the transmission or payment of money, whether or not the instrument is negotiable.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and interpreted and construed in accordance with the laws of India. The courts of Chennai shall have exclusive jurisdiction over any disputes arising under these Terms. In the event of any dispute arising out of these Terms the same shall be settled by a binding arbitration conducted by a sole arbitrator, appointed jointly by both parties and governed by the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Chennai, Tamil Nadu, India

If You wish to make a complaint regarding any violation of the provisions of these Terms, You
may send a written complaint to the Grievance Officer, who shall redress the complaint in
accordance with the provisions of the Information Technology Act, 2000 and Rules made
thereunder.

Please note that these Terms may be amended from time to time by MetalPe as follows. In the event that any change/ amendment is to be made to the Terms and which is not adverse or detrimental to the You, then You would be provided 7 days’ prior notice to such such changes/ amendments. In the event, any proposed changes or amendments to the Terms are adverse to or in any way detrimental to the You, then MetalPe shall provide You with 14 days’ prior notice requiring You to opt out of the agreement/understanding on which MetalPe would provide the Services to You as recorded in these Terms. In the event that You do not respond to any such proposed change/amendment stating that You do not accept such change/amendment and wish to opt out of the Terms, then You would be deemed to have consented to such proposed change or amendment to these Terms.
